Smart Lead Terms of service.
1. Definitions
Lead Definition:
A lead is defined as a valid business entity (e-commerce brand) that meets the following criteria:
Smart Lead: Refers to the data services provided by Smart Lead.
Lead Data Requirements: Each lead includes the brand name, website, contact person’s name, valid email address, phone number, business location, and other enriched attributes such as platform type, estimated revenue, AOV, and more.
Criteria Compliance: The lead must meet the filters and criteria you specify during onboarding (e.g., category, region, platform, revenue).
2. Lead Generation Process
Standardized Approach:
Our lead generation and enrichment services follow a standardized process to ensure quality and consistency. Customization requests outside of this process are not supported.
Lead Validity:
We adhere strictly to the definition of a valid lead as outlined above. Leads that meet the agreed-upon criteria will be considered valid and non-rejectable.
3. Lead Enrichment Eligibility
To enrich a lead, a valid website or e-commerce store URL must be provided. We cannot enrich records without a functioning site or store landing page.
4. Subscription Plans
Plan Tiers:
Leads are delivered based on the subscription level selected at sign-up (e.g., 1,000, 2,000, or 5,000 leads/month).
Plan Changes:
You may upgrade, downgrade, or cancel your subscription before the next billing cycle. Changes must be made before the new billing period begins.
5. Billing and Refunds
Automated Billing:
Smart Lead uses an automated billing system. Once billing begins, your lead generation or enrichment process starts automatically. No refunds are issued once processing has started.
Cancellation Process:
If you wish to cancel, notify us at operations@smartlead.io at least five (5) business days before your next billing date to avoid being charged for the following cycle.
6. Confidentiality
Both parties agree to keep all proprietary and confidential information private, including lead lists, data outputs, targeting criteria, or any information shared during the engagement. Information will not be disclosed to third parties without written consent, unless required by law.
7. Intellectual Property
All systems, methodologies, and intellectual property used in the Smart Lead platform remain the sole property of Smart Lead unless otherwise agreed in writing.
8. Limitation of Liability
Smart Lead will not be liable for indirect, special, or consequential damages, or any loss of revenue or profit. Our total liability is limited to the amount paid by the client in the most recent billing cycle.
9. Termination
Termination by Smart Lead:
We reserve the right to terminate service immediately for payment failures, misuse of the platform, or violations of these terms.
Termination by Client:
You may cancel at any time before your next billing cycle. Please provide five (5) business days' notice to ensure cancellation is processed in time.
10. Client Obligations
Clients agree to provide accurate and timely targeting criteria, upload clean data for enrichment (if applicable), and respond to any additional requests within five (5) business days. Failure to do so may delay delivery or result in cancellation without refund.
11. Performance Disclaimer
Smart Lead guarantees enriched and verified contact data per your filters, but does not guarantee sales, conversions, or engagement from leads provided.
12. Force Majeure
Smart Lead shall not be held responsible for delays or failure to perform due to circumstances beyond our control (e.g., natural disasters, cyberattacks, wars, legal restrictions).
13. Non-Solicitation Clause
Clients agree not to directly solicit, resell, or redistribute lead data provided by Smart Lead outside of their internal business use for a period of 12 months after the termination of this agreement.
14. Dispute Resolution
Disputes:
Submit all disputes in writing to operations@smartlead.io. We will aim to resolve any issues within thirty (30) business days.
Refunds:
Refunds are not provided. However, we may, at our discretion, issue credits or replacements if leads are demonstrably invalid or do not meet agreed criteria.
15. Data Usage & Ownership
All leads provided by Smart Lead are for the client's internal business development use only. Redistribution, resale, or third-party sharing is prohibited without written consent. Clients retain the right to continue using leads generated during the subscription even after cancellation.
16. Indemnification
Clients agree to indemnify and hold Smart Lead harmless from any legal claims or liabilities arising from misuse of lead data, breach of terms, or violations of applicable laws.
17. Governing Law
These terms are governed by the laws of the jurisdiction in which Smart Lead is registered. All disputes will be resolved under the exclusive jurisdiction of those courts.
18. Amendments
Smart Lead reserves the right to update these terms at any time. Clients will be notified of any material changes at least 30 days in advance.
